1. Introduction

Welcome to Uni-Rep Technologies Pvt Ltd (“Company,” “we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your use of our website https://unireps.in and the professional services provided by us, including but not limited to Website Development, Software Engineering, Mobile Application Development, and Annual Maintenance Contracts (AMC).

By accessing our website or engaging our services, you (“Client,” “User,” “you”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

2. Scope of Services:

• Project Definition: The specific details, deliverables, timelines, and costs for any project will be outlined in a separate Proposal, Quote, or Statement of Work (“SOW”) provided to the Client.
• Precedence: In the event of a conflict between these General Terms and a specific SOW signed by both parties, the terms of the specific SOW shall prevail.

3. Client Obligations :

To ensure the timely completion of projects, the Client agrees to:

• Provide Assets: Provide all necessary text, images, credentials, and other information required for the project within the agreed timeframe.
• Timely Feedback: Review deliverables and provide feedback/approvals within [e.g., 3-5 business days]. Delays in Client feedback will result in a corresponding delay in the project completion date.
• Permissions: Guarantee that all elements of text, graphics, photos, designs, trademarks, or other artwork provided to Uni-Rep Technologies for inclusion in the project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements.

4. Payment Terms:

• Quotations: Quotes are valid for 30 days.
• Payment Schedule: Unless otherwise agreed in an SOW, standard terms are: 50% Advance deposit before work commences.
• Remaining Balance upon project completion/milestone delivery, prior to final deployment or transfer of code.
• Taxes: All fees are exclusive of Goods and Services Tax (GST), which will be charged as applicable under Indian law.
• Late Payments: Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month.
• Suspension of Service: Uni-Rep Technologies reserves the right to suspend work or disable the website/software if payments are outstanding.

5. Intellectual Property Rights (IP):

• Company IP: Uni-Rep Technologies retains all rights to its background technology, pre-existing code libraries, tools, and frameworks used to create the deliverables.
• Client IP: Upon full payment of all invoices, the specific source code, design, and content created specifically for the Client’s project shall become the property of the Client.
• Portfolio Rights: The Client grants Uni-Rep Technologies the right to display the project (including screenshots and logos) in our portfolio, website, and marketing materials as a demonstration of our work.

6. Confidentiality : Both parties agree to keep confidential all non-public information obtained from the other party that is designated as confidential or which, by its nature, should reasonably be considered confidential. This includes business strategies, customer data, and proprietary code.

7. Warranty and Support:

Bug Fixes: We provide a 30-day warranty period after the project goes live. During this time, we will fix any bugs or errors related to our code at no extra cost. Exclusions: This warranty does not cover issues caused by:

• Changes made to the code by the Client or a third party.
• Server/Hosting failures not managed by us.
• Third-party API updates (e.g., Google Maps, Payment Gateways) that break functionality after launch.

Maintenance: Beyond the warranty period, support is available under a separate Annual Maintenance Contract (AMC).

8. Limitation of Liability: To the fullest extent permitted by law:

Indirect Damages: Uni-Rep Technologies shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business usage, arising out of the use or inability to use the software/website.

Cap on Liability: Our total liability for any claim arising out of these Terms or the services provided shall not exceed the total amount paid by the Client to Uni-Rep Technologies for the specific project giving rise to the claim.

9. Termination:

By Client: The Client may terminate the project at any time by providing written notice. In such cases, the Client is liable to pay for all work completed up to the date of termination. Deposits are generally non-refundable.

By Company: We may terminate the agreement if the Client fails to make payments or breaches these Terms.

10. Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi.
